Why would a private investment fund set a “target maximum investment” per investor?
I am reading an invitation to invest in a single-asset fund that would own shares in a private company. The offering lists a target minimum investment and a target maximum investment. I understand that the target minimum investment is to avoid having to deal with too many investors. But why would a private investment fund set a “target maximum investment” per investor? The target maximum investment an order magnitude lower than the amount of fund that is available for subscription. Is that just to making more investors "happy" be allowing them into the fund in case the offer get oversubscribed, or can there be another reason?
